TokenFab Open Platform User Agreement

Shenzhen Xiangyuan Gongfang Technology Co., Ltd. (hereinafter referred to as "Xiangyuan Gongfang" or "TokenFab") welcomes you to the TokenFab Open Platform (hereinafter referred to as "this Platform"). Before you formally register and use the various services provided by this Platform, please read this TokenFab Open Platform User Agreement (hereinafter referred to as "this Agreement") in full and carefully.

I. Definitions

• Xiangyuan Gongfang / TokenFab: Refers to Shenzhen Xiangyuan Gongfang Technology Co., Ltd., the developer and operating entity of this Platform.
• TokenFab Open Platform: The comprehensive platform operated by Xiangyuan Gongfang that provides users with AI model inference, API calls, compute services, model fine-tuning, and other related technical services via the internet (domain: tokenfab.cn and its sub-domains).
• Platform Services: Including but not limited to model inference services, API calls, compute services, model training and fine-tuning, dataset management, intelligent routing, and other features and services subsequently launched by Xiangyuan Gongfang.
• You / User: A natural person, legal entity, or other organization that has completed the registration process, been authenticated by this Platform, and actually uses the Platform's services.
• User Content: Any data, text, images, audio, video, code, and other materials that you upload, input, submit, store, process, or generate through this Platform.
• Affiliate: Any entity that directly or indirectly controls Xiangyuan Gongfang, is controlled by Xiangyuan Gongfang, or is under the same control as Xiangyuan Gongfang. "Control" means holding more than 50% of the voting rights or having substantive control over the entity's operations and management through equity, agreements, or other arrangements.
• Platform Rules: Various rules, standards, announcements, guidelines, operating manuals, and supplementary notes published by this Platform from time to time.

II. Account Registration and Management

2.1 Capacity

You confirm that when registering for this Platform account, you have the full civil capacity appropriate for using this Platform's services and can independently bear legal responsibility.

If you are a minor, you may only use this Platform's free features for learning and research purposes with the explicit consent and ongoing guidance of your guardian, and you may not make any paid transactions. All consequences resulting from violations of this rule shall be borne by you and your guardian.

2.2 Registration Methods and Information Requirements

You should register through this Platform's designated channels using a valid mobile phone number or email address, and truthfully fill in the required information as guided. This Platform will verify your identity based on the information you provide.

This Platform classifies users into individual users and enterprise users. Please select the appropriate user type based on your actual use purpose and the entity you represent:

• Individual User: "You" refers only to yourself, and you must independently bear full responsibility for all activities under your account.
• Enterprise User: "You" includes both you personally and the legal entity or non-legal organization you represent. You must ensure that you have obtained lawful authorization from that entity to agree to and fulfill this Agreement on its behalf. The entity must also bear legal responsibility for all activities under the account.

If this Platform has reasonable grounds to believe that you have impersonated another person's identity, fabricated entity information, registered repeatedly, or created an account through other improper means, this Platform reserves the right to suspend or permanently close the relevant account without any liability.

2.3 Account Security Responsibility

You are fully responsible for safeguarding your account and password. Under no circumstances will this Platform's staff proactively ask you for your account password. Any losses caused by your own disclosure of password, authorization of others to use your account, or third-party fraud or attacks shall be borne by you. You should seek recourse against the actual infringer through judicial or administrative channels, and this Platform shall not bear compensation or other liability.

Your account is for your personal use only. Without this Platform's written consent, it is prohibited to lend, rent, transfer, sell, or authorize third parties to use the account in any form. If this Platform determines that your account has security risks or abnormal usage, this Platform may take measures such as temporary freezing, feature restrictions, or service termination.

2.4 Information Maintenance

You should ensure that your registration information is true, accurate, and complete, and update it promptly when changes occur. If this Platform is unable to contact you due to invalid, false, or outdated information, all adverse consequences shall be borne by you. This Platform may require you to re-verify your identity and may suspend or terminate services accordingly.

III. Service Content and Usage Standards

3.1 Service Scope

This Platform provides API call services covering various AI models. Currently, the models integrated include but are not limited to MiniMax-M2.7. The specific model list and service parameters are subject to this Platform's real-time published information. Xiangyuan Gongfang reserves the right to add, modify, or remove some models and services based on business planning, technology upgrades, or partnership adjustments.

3.2 Lawful and Compliant Use

When using this Platform's services, you must strictly comply with the laws and regulations of the People's Republic of China, the Interim Measures for the Management of Generative AI Services, the Provisions on the Management of Algorithmic Recommendation in Internet Information Services, the Provisions on the Management of Deep Synthesis in Internet Information Services, and other applicable laws, regulations, and regulatory requirements.

You must not use this Platform to create, copy, publish, or distribute information containing the following content:

• Content that opposes the fundamental principles established by the Constitution of the People's Republic of China;
• Content that endangers national security, leaks state secrets, subverts state power, or undermines national unity;
• Content that damages national honor and interests;
• Content that incites ethnic hatred or discrimination, or undermines ethnic unity;
• Content that undermines national religious policy, promotes cults or feudal superstition;
• Content that spreads rumors, disrupts social order, or undermines social stability;
• Content that disseminates obscenity, pornography, gambling, violence, murder, terror, or incites crime;
• Content that insults or defames others, infringing on their reputation, privacy, portrait rights, intellectual property, or other legitimate rights;
• Content containing false, fraudulent, or misleading information;
• Other content prohibited by laws and regulations.

3.3 Prohibited Conduct

Unless otherwise provided by law or explicitly agreed by this Platform, you must not engage in the following conduct:

• Attempting to extract this Platform's or its integrated models' source code, algorithm parameters, training data, or underlying architecture through any technical means (including but not limited to crawlers, reverse engineering, decompilation, disassembly, etc.);
• Conducting stress testing, penetration attacks, or any form of disruptive operations on this Platform and its components or interfaces;
• Accessing or manipulating this Platform using unauthorized third-party plugins, scripts, cheats, or automation tools;
• Removing, modifying, or obscuring rights declarations, copyright identifiers, or technical marks on this Platform's pages and model outputs;
• Using this Platform's services in fields with statutory qualification requirements, including but not limited to medical diagnosis, drug prescriptions, financial investment advice, insurance underwriting, credit approval, legal opinions, and major personnel decisions;
• Using this Platform's model outputs directly as the sole basis for automated decision-making without necessary human review;
• Using this Platform's model input and output data, alone or combined with other data, to train, fine-tune, optimize, or develop any AI model or algorithm that competes with this Platform;
• Using this Platform to generate malicious code, viruses, trojans, or other programs that endanger cybersecurity;
• Providing products or services through this Platform that directly or indirectly compete with Xiangyuan Gongfang;
• Other conduct reasonably determined by Xiangyuan Gongfang to be abusive or harmful to this Platform's normal operations.

3.4 Third-Party Service Liability

If you use this Platform to provide products or services to third parties, you should independently establish and operate such products or services, and independently bear all legal liabilities, compliance obligations, and customer relationship management arising therefrom. Any disputes, complaints, or claims between you and your users shall be handled by you independently and are unrelated to this Platform.

3.5 Cross-Border Usage Restrictions

When using this Platform's services outside the People's Republic of China, you must comply with the laws and regulations of the country or region where you are located, and independently obtain necessary export licenses, trade compliance reviews, and other government approvals. You must not provide this Platform's services or any derivative results to countries, regions, entities, or individuals subject to international sanctions or trade embargoes.

3.6 Compliance Obligations

Upper-layer applications you develop based on this Platform's API must independently complete statutory internet information service algorithm filings, security assessments, launch filings, and all other applicable administrative approvals and compliance procedures. You should truthfully disclose the AI model information used as required by regulators, and must not falsely or misleadingly label models you have not used.

You must establish and effectively operate compliance management mechanisms for content review, user management, data protection, risk monitoring, and emergency response, and bear management responsibility for the legality of generated content.

3.7 AI-Generated Synthetic Content Labeling

This Platform has, in accordance with the Interim Measures for the Management of Generative AI Services, the Measures for the Labeling of AI-Generated Synthetic Content, and the Cybersecurity Technology — Labeling Methods for AI-Generated Synthetic Content (GB 45438—2025) and other laws, regulations, and national standards, labeled AI-generated synthetic content using a combination of explicit and implicit labels.

Unless otherwise required by law or otherwise agreed in writing with Xiangyuan Gongfang, you must not tamper with, remove, obscure, or cover up the explicit labels, implicit labels (including metadata labels and digital watermarks), and functional prompt labels embedded in the generated content by this Platform in any way.

If you need to remove the above labels for special business needs, you should submit a written application to this Platform explaining the specific reasons, and simultaneously commit to:

• Independently bearing all labeling obligations required by the Measures for the Labeling of AI-Generated Synthetic Content and related standards, and adding alternative labels that meet regulatory requirements in your products;
• Bearing all legal liabilities and risks arising from the removal of this Platform's labels.

If you fail to properly label generated content as required by law, resulting in user complaints or regulatory penalties, the relevant liability shall be borne by you independently; if Xiangyuan Gongfang suffers any losses as a result, you shall provide full compensation.

IV. User Data and Intellectual Property

4.1 Data Ownership

The data you upload, store, and process through this Platform (hereinafter referred to as "User Data") is owned by you. You bear full responsibility for the legality, authenticity, and source of User Data, and warrant that:

• The uploaded content does not violate laws and regulations and does not contain illegal or harmful information;
• It does not infringe any third party's intellectual property, trade secrets, portrait rights, privacy rights, or other legitimate rights;
• If it contains personal information, you have obtained lawful and valid authorization in accordance with the Personal Information Protection Law of the People's Republic of China and other legal provisions.

4.2 Data Usage Restrictions

Xiangyuan Gongfang processes User Data only within the scope necessary to provide services to you and does not use it for any purpose outside this Agreement, except in the following circumstances:

• Provided pursuant to mandatory requirements of laws, regulations, judicial organs, or administrative organs;
• Necessary to protect the legitimate rights and interests of Xiangyuan Gongfang, users, or the public;
• Other uses with your explicit consent or as otherwise agreed in writing with you.

[Model Data Processing] Xiangyuan Gongfang shall process your model input and output data only to the extent necessary to provide model inference services to you, and shall not use such data for model training, fine-tuning, or any form of model improvement, nor retain such data beyond the necessary period for providing the services.

4.3 Data Deletion

You may delete User Data at any time. After account cancellation, service expiration, or early termination, this Platform will continue to retain your data for a reasonable period (as specified in product documentation), and after that period, all copies including backups will be completely deleted. Once deleted, data cannot be recovered, and you shall bear the consequences.

4.4 Intellectual Property Ownership

• Platform Intellectual Property: This Platform and its software, interface design, documentation, trademarks (including "TokenFab," "Xiangyuan Gongfang," and their graphic identifiers), LOGO, technical solutions, etc., are owned by Xiangyuan Gongfang or its rights holders and are protected by the Copyright Law of the People's Republic of China, the Trademark Law of the People's Republic of China, and relevant international conventions. Without written permission, no entity may use, copy, modify, or distribute them in any way.
• User Input Content: The copyright of any content you input to this Platform remains with the original rights holder.
• Model-Generated Content: The intellectual property ownership and usage of content generated based on this Platform's models shall be determined and handled by you. Given the limitations of current AI technology, model outputs may be similar to existing works or content generated by others. Xiangyuan Gongfang makes no guarantee regarding the originality or non-infringement of generated content. You should independently assess compliance risks before use. You shall independently respond to and bear responsibility for any intellectual property disputes arising from generated content.

4.5 Trademark and Brand Protection

Without Xiangyuan Gongfang's prior written authorization, you must not, in any context, use, cite, copy, or display the trademarks, trade names, LOGOs, brand identifiers, product names, or staff names and portraits of Xiangyuan Gongfang and its affiliates in any way (including but not limited to advertising, promotion, marketing, investment and financing, etc.). You must not explicitly or implicitly suggest that Xiangyuan Gongfang endorses or supports your products or services.

4.6 Infringement Reporting

If you believe that content on this Platform infringes your legitimate rights, please send an infringement notice and valid proof of rights to service@tokenfab.com. We will take necessary measures such as deletion or blocking after verification.

V. Paid and Free Services

5.1 Paid Services

Some services on this Platform are paid. Pricing is displayed in real time on each service's page. Before purchasing, you should carefully read the specific terms and billing rules of the corresponding service. Confirming payment means you have entered into a contract with Xiangyuan Gongfang for that service and accepted its terms.

Except where Xiangyuan Gongfang's unilateral fault prevents you from using a purchased service, fees already paid are non-refundable, unless otherwise explicitly agreed.

5.2 Free Services

This Platform may provide free or time-limited free features and services. Based on reasonable factors such as system load, security policies, technology iteration, or commercial considerations, this Platform reserves the right to limit the scope, capacity, frequency, and features of free services, and may adjust or terminate free services at any time. We will provide advance notice of such changes through appropriate means, but shall not bear compensation or liability for breach of contract.

VI. Platform Rights and Obligations

• Xiangyuan Gongfang will make commercially reasonable efforts to ensure the continuous and stable operation of this Platform and to continuously improve its technical capabilities and service quality.
• We will respond to and handle issues or feedback you encounter during use within a reasonable period.
• For violations of this Agreement, Platform Rules, or laws and regulations, Xiangyuan Gongfang has the right to take measures such as deleting content, restricting features, suspending services, or canceling accounts, depending on severity, and reserves the right to report to relevant authorities.
• Xiangyuan Gongfang will take necessary technical and management measures in accordance with the law to ensure Platform and data security.

VII. Disclaimer and Limitation of Liability

7.1 Services Provided "As Is"

Unless otherwise mandated by law, this Platform and all its services are provided on an "as is" and "as available" basis. Xiangyuan Gongfang makes no express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Technical Limitations

You understand and acknowledge that, due to the inherent limitations of current AI technology, this Platform's services have the following situations that cannot be completely avoided:

• Model outputs may contain factual errors, logical contradictions, or omissions;
• Generated content may be incomplete, inaccurate, outdated, or unsuitable for specific scenarios;
• Models do not truly understand semantics, and their outputs do not constitute any form of professional advice;
• Despite filtering mechanisms, generated content may still contain flaws or inappropriate information.

You should independently review and judge model output content and should not use it as the sole basis for decision-making. Any risks and consequences arising from reliance on model outputs shall be borne by you.

7.3 Force Majeure and Exemption Grounds

Xiangyuan Gongfang shall not bear liability for breach of contract for service interruptions, delays, data loss, or other losses caused by the following circumstances:

• Natural disasters, wars, riots, government actions, and other force majeure events;
• Failures of public infrastructure such as electricity, communications, and networks;
• Routine or emergency system maintenance and upgrades;
• Cybersecurity incidents such as computer viruses, hacker attacks, and malware;
• Other circumstances beyond Xiangyuan Gongfang's reasonable control.

7.4 Damages Cap

To the maximum extent permitted by law, Xiangyuan Gongfang's total liability for any claims arising from this Agreement or the use of this Platform's services shall be capped at the service fees you actually paid to Xiangyuan Gongfang in the twelve (12) months preceding the occurrence of the claim. Xiangyuan Gongfang shall not be liable for any indirect, incidental, special, or consequential damages, loss of profits, or data loss.

7.5 User Indemnification

If your breach of this Agreement, infringement of third-party rights, or violation of laws and regulations causes Xiangyuan Gongfang or its affiliates or employees to suffer any claims, lawsuits, penalties, or losses (including reasonable attorneys' fees), you shall provide full indemnification and hold them harmless.

VIII. Third-Party Links and Services

This Platform may contain links to third-party websites or services, or provide services through third-party interfaces. Such third-party products or services are independently operated by their operators. Xiangyuan Gongfang bears no responsibility for their content, quality, security, or legality. Any disputes between you and third parties should be resolved directly with the relevant third party.

IX. Personal Information Protection

Xiangyuan Gongfang attaches great importance to the security of users' personal information. When collecting, storing, using, and sharing your personal information, we will strictly comply with the Personal Information Protection Law of the People's Republic of China and other laws and regulations. For specific rules, please refer to the Privacy Policy published on this Platform.

Within the scope permitted by law, for non-personal information content you provide (including but not limited to public comments, feedback, suggestions, etc.), you grant Xiangyuan Gongfang a non-exclusive, worldwide, perpetual license to use it (including storage, copying, modification, publication, translation, derivative creation, and sub-licensing, etc.).

X. Protection of Minors

This Platform is primarily designed and operated for adults, and paid services are not available to minors. If you are a minor, you may only use free features for non-commercial learning and research purposes with your guardian's explicit consent. If Xiangyuan Gongfang discovers that a minor has registered for and used paid services without guardian consent, it has the right to immediately stop services and cancel the account.

XI. Changes, Termination, and Consequences

11.1 Agreement Changes

Xiangyuan Gongfang reserves the right to modify this Agreement based on changes in laws and regulations or business needs, as well as the right to formulate and update Platform Rules from time to time based on business needs. The modified Agreement and the updated Platform Rules will be published on this Platform or notified to you through other appropriate means. If you continue to use this Platform's services after the changes take effect, you are deemed to have accepted the modified Agreement and the Platform Rules. If you do not agree to the changes, you should immediately stop using this Platform and cancel your account.

11.2 Voluntary Termination

You may terminate this Agreement by canceling your account. The cancellation request takes effect after review by this Platform, at which point the rights and obligations under this Agreement between the parties are terminated.

11.3 Platform Termination

Xiangyuan Gongfang has the right to unilaterally terminate this Agreement and stop providing services in any of the following circumstances:

• You seriously violate this Agreement or Platform Rules;
• Information you provided during registration is verified to be false;
• You re-register under another person's name after being terminated;
• This Platform is unable to contact you through all contact methods you provided, and you have not updated them within three business days after notification;
• You explicitly refuse to accept the updated version of this Agreement;
• You engage in illegal activities or seriously infringe third-party rights;
• Other circumstances where laws and regulations require service termination.

11.4 Effect After Termination

After termination of the Agreement, this Platform has no obligation to retain or return any data in your account. Xiangyuan Gongfang still retains the following rights:

• Continue to pursue liability for your pre-termination breaches;
• Retain necessary usage records after anonymization processing in accordance with the law.

XII. Governing Law and Dispute Resolution

The conclusion, effectiveness, performance, interpretation, and dispute resolution of this Agreement are governed by the currently effective laws of the mainland of the People's Republic of China.

Any disputes arising from this Agreement shall first be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with the people's court with jurisdiction over the domicile of Shenzhen Xiangyuan Gongfang Technology Co., Ltd. (Shenzhen, Guangdong Province).

If any provision of this Agreement is determined to be invalid or unenforceable by a court with jurisdiction, the invalidity of that provision does not affect the validity of other provisions. The parties shall negotiate replacement terms in good faith.

XIII. Notices and Service

• The email address and mobile number you provide during registration are valid channels for receiving this Platform's notices. Platform notices are deemed delivered upon sending. Please stay attentive and check promptly, as notice content may significantly affect your rights and obligations.
• Forms of notices issued by this Platform include but are not limited to in-platform announcements, system messages, SMS, and email.
• You warrant that the contact information and address you provide are valid. If notices cannot be delivered due to false information or failure to update, the legal consequences shall be borne by you.
• To send formally legally effective notices to Xiangyuan Gongfang, you should send them via email to service@tokenfab.com. We do not accept formal legal notices delivered by phone or other means.
